PROJECT TIMELINE DISCLAIMER

Our project timeline is an approximation but we always strive to beat our approximate times. Unfortunately, there may be times when a delay can arise due to the following:

An act of nature (fire, flooding, thunderstorms, hurricanes, etc)
3rd party services or technologies (power outages, internet outages, etc)
Delays in providing needed web assets, creatives, imagery, and copy.
3rd party app developers if the app deems to be launch critical.
Hardware or software malfunction (A failed workstation, or software crash)

We will always put in a valid effort to recover from these delays and will communicate a status as soon as it's available if it applies.

STALLED PROJECTS

If communication from our client has halted longer than 10 business days. Your project will be considered stalled. A stalled project will be archived and stored for up to 30 days. Returning a stalled project to active will require a $400 re-discovery fee and will be invoiced before continuing the project.

If there is no communication from the client for over 90 days, the project is considered abandoned and will be closed indefinitely.

INTELLECTUAL PROPERTY RIGHTS

All works produced by MAGEHD will become the sole intellectual property of MAGEHD which will license rights to use by our client.

“Intellectual property rights” means all patents, rights to inventions, code behind, copyright (including rights in software) and related rights, trademarks, service marks, trade names, rights to goodwill or to sue for passing off, rights in designs, database rights, rights in confidential information (including know-how) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which subsist or shall subsist now or in the future in any part of the world. First, Flowtoys, Inc. guarantees that all elements of text, images, or other artwork you provide are either owned by your good selves or that you’ve permission to use them.

LICENSE TO USE

A license to use is issued after a final payment has been submitted. Any theme that is being used publicly without a final payment is in violation of the Intellectual Property Rights of MAGEHD. If a client is found to be in violation of this license, a refund will not be submitted and legal action may be taken.

CHANGES AND REVISIONS

We don’t want to limit the ability of our clients to change their minds. The price provided in a client's invoice is based on the work that is needed to accomplish everything mentioned. Any features that are requested and are not listed in the provided invoice are considered "Out of scope". "Out of Scope" features will be estimated separately.

REFUNDS

Payments for web design & development projects are made to us in increments as a courtesy to the client. Once a payment or deposit is made, it is non-refundable. If a project is canceled, abandoned, stalled, or postponed, all monies paid are retained by MAGEHD and if applicable, a fee for all work completed beyond what was already paid for shall be paid by the client.
